Terms of Service

These Terms of Service (the “Terms” or “Agreement”) govern your access to and use of the services provided by Systemagic via systemagic.ai and related products (the “Services”).

By creating an account, using the Services, or clicking “accept” (or similar), you agree to be bound by these Terms.

If you are agreeing to these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity. In that case, “Customer”, “you”, and “your” refer to that entity and its users.

If you do not agree to these Terms, you must not use the Services.

1. Definitions

“Account” means the online account you or your organization use to access the Services.
“Customer” / “you” means the person or entity using the Services.
“Uploaded Data” means any data, content, or information submitted or uploaded to the Services by or for you, excluding Systemagic Content.
“Documentation” means any online help articles, FAQs, or other written materials that Systemagic makes available about the Services.
“Order” or “Order Form” means any online or written purchase, subscription, or registration specifying the Services, plan, and pricing.
“Systemagic Content” means all software, code, features, models, tools, documentation, and other materials provided by Systemagic in connection with the Services.
“User” means an individual who is authorized by you to use the Services under your Account (for example, your employees or contractors).

2. Services and Access

2.1 Provision of Services

Systemagic grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes, subject to these Terms and any applicable Order.

2.2 Changes to Services

Systemagic may improve, update, or modify the Services at any time. Features may be added, changed, or removed. We will try to avoid changes that materially reduce core functionality, but we do not guarantee the availability of any specific feature.

2.3 Eligibility

You must be at least 18 years old to use the Services.

2.4 Trial and Free Access

Trial and free plans are provided “as is” without warranties and may be changed or discontinued at any time.

3. Your Responsibilities

3.1 Account and Users

You are responsible for safeguarding your account credentials, and all activity under your Account.

3.2 Compliance with Law

You must use the Services in compliance with applicable laws and regulations, including the laws of Finland and the EU.

3.3 Customer Data

You are responsible for the legality, accuracy, and use of Uploaded Data. You must ensure you have the rights required to upload or process the Uploaded Data in the Services.

3.4 Prohibited Uses

You may not:

• use the Services for unlawful, harmful, deceptive, or infringing purposes

• attempt unauthorized access or security testing

• reverse engineer or copy the Services

• resell or sublicense the Services unless expressly permitted

• use the Services to create or improve competing products

• use unsupported or unauthorized interfaces

• upload sensitive personal data (including health, financial, biometric, political, religious, children's data, etc.)

3.5 Third-Party Services

Systemagic is not responsible for third-party services or integrations. If you enable an integration, you authorize Systemagic to exchange Uploaded Data as needed to enable it.

4. Fees and Payment

Paid plans require payment of the applicable fees. All fees are non-refundable unless required by law.

Systemagic may suspend accounts for non-payment after reasonable notice.

Fees exclude taxes, which you are responsible for unless otherwise required by Finnish law.

5. Term and Termination

5.1 Term

This Agreement remains in effect until terminated.

5.2 Auto-Renewal

Subscriptions renew automatically unless cancelled before the renewal date.

5.3 Termination

You may terminate at any time, but prepaid fees are non-refundable unless required by Finnish consumer protection law.

Systemagic may suspend or terminate access for material breach, abuse, or legal risk.

After termination, we may delete your Uploaded Data unless required to retain it by law.

6. Intellectual Property

Systemagic retains all rights to the Services and Systemagic Content.

You retain all rights to Uploaded Data.

You grant Systemagic a license to process the Uploaded Data as necessary to provide, secure, maintain, and improve the Services.

You grant Systemagic a perpetual license to use Feedback for any purpose without obligation or compensation.

7. Privacy and Data Protection

Systemagic processes personal data in accordance with Finnish law, the EU GDPR, and its Privacy Policy.

If you require a GDPR data processing agreement, we can provide one upon request.

Systemagic uses commercially reasonable security measures via trusted cloud providers but cannot guarantee absolute security.

8. Confidentiality

Both parties agree to protect the other’s confidential information with reasonable care and use it only for purposes of providing or receiving the Services.

9. Disclaimers

To the fullest extent permitted by Finnish law, the Services are provided “as is” and “as available.”

Systemagic does not guarantee uninterrupted or error-free operation or that any results or output will be accurate, reliable, or suitable for any particular purpose.

10. Limitation of Liability

To the maximum extent permitted by Finnish law:

Systemagic will not be liable for indirect, incidental, special, or consequential damages, including lost profits or data.

Systemagic’s total liability will not exceed the amount paid by you in the 12 months preceding the claim, or €100 if you are using a free plan.

Nothing in these Terms limits liability that cannot be limited under Finnish or EU law (including GDPR and mandatory consumer rights).

11. Indemnity

You agree to indemnify Systemagic against any third-party claims arising from:

• your misuse of the Services

• your violation of these Terms or applicable law

• your misuse of Uploaded Data (including IP or privacy violations)

12. Miscellaneous

12.1 Governing Law and Jurisdiction

These Terms are governed by the laws of Finland. Any disputes will be resolved in the courts of Helsinki, Finland, unless otherwise required by mandatory consumer law.

12.2 Changes to Terms

Systemagic may update these Terms from time to time. Continued use after changes become effective means you accept the updated Terms.

12.3 Assignment

You may not assign these Terms without Systemagic’s written permission. Systemagic may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.4 Force Majeure

Systemagic is not responsible for delays or failures caused by events outside reasonable control.

12.5 Entire Agreement

These Terms, along with the Privacy Policy and any Order, form the entire agreement.

12.6 Severability

If part of these Terms is found unenforceable, the rest remains in effect.

12.7 No Waiver

A failure to enforce a provision does not waive that provision.
